These Terms & Conditions (“Terms”) govern your access to
and use of the Niyam Markets platform, including our
website, web and mobile applications, and related services
(collectively, the “Platform” or “Services”).
The Platform is owned and operated by
KRAFIT TECHNOLOGIES PRIVATE LIMITED (“Niyam”,
“Company”, “we”, “us” or
“our”), a company incorporated under the Companies Act, 2013
(CIN: U72200TG2020PTC146829), with its registered office in Hyderabad,
Telangana, India. By creating an account, subscribing to a plan, or
otherwise accessing or using the Services, you agree to be bound by these
Terms. If you do not agree, please do not use the Platform.

Definitions
-
“User”, “you” means any individual
or entity that registers for or uses the Platform.

“Broker” means a SEBI-registered stockbroker
whose trading account and APIs you connect to the Platform (e.g.
Dhan, Zerodha, Upstox, Angel One, Shoonya, BN Rathi).

“Algo” means an algorithmic strategy, signal,
or automation configured, subscribed to, or executed through the
Platform.

“Wallet Credits” means prepaid balance used to
pay for usage-based charges within the Platform.

Eligibility
-
You must be at least 18 years of age and legally competent to enter
into a binding contract under Indian law.

You must hold a valid trading and demat account with a
SEBI-registered broker supported by the Platform.

You agree to comply with all applicable laws and the rules,
byelaws and regulations of SEBI, the stock exchanges (NSE, BSE,
MCX) and your broker.

You represent that the information you provide is accurate,
current and complete, and you will keep it updated.

Account Registration & Security
-
You are responsible for maintaining the confidentiality of your
login credentials, OTPs and API keys, and for all activity under
your account.

You must notify us immediately of any unauthorised use or suspected
breach of security at
support@niyammarkets.com.

One account is intended for use by a single user. Sharing,
reselling or sublicensing access without our written consent is
prohibited.

Description of Services
-
Niyam provides F&O and market analytics, a multi-leg strategy
builder, sector-rotation and FII/DII intelligence, algorithmic
trading tools, a signal bridge, paper trading, backtesting and
multi-broker order execution.

The Platform is a technology tool. We do not provide
investment, financial, legal or tax advice, portfolio
management, or fund-handling services, and we do not guarantee any
profit or outcome.

Features, analytics outputs and data are provided on an
“as-is” and “as-available” basis and may be
changed, suspended or discontinued at our discretion.

Broker Integration & Bring-Your-Own-Broker

You connect your own broker account to the Platform. Niyam never
takes custody of your funds or securities; all orders are placed
into and settled within your own broker account.

By connecting a broker, you authorise the Platform to access market
data and to place, modify or cancel orders on your behalf strictly
as per the actions, algos and signals you configure.

Your use of any broker remains subject to that broker’s own
terms. We are not responsible for broker downtime, API failures,
rejections, slippage, margin shortfalls or settlement issues.

Algorithmic Trading, Signals & Automation

Algos and signals execute automatically based on the parameters you
select or the strategies you subscribe to. You are solely
responsible for reviewing, configuring and monitoring them.

Automated execution carries additional operational risk, including
latency, connectivity loss, erroneous signals and rapid order
generation. You should use available risk controls (e.g. limits and
kill switch) and supervise your account.

Past or hypothetical performance of any algo, signal or backtest is
not indicative of future results.

Paper Trading & Backtesting
-
Paper trading and backtesting are simulated environments using
historical or virtual data. Results are hypothetical and do not
reflect actual execution, liquidity, charges or market impact.

Simulated performance must not be relied upon as a representation
that similar results will be achieved in live trading.

Subscriptions, Wallet Credits & Charges
-
Access to paid features requires an active subscription plan and/or
prepaid Wallet Credits, as described on the Platform.
-
Certain actions (such as order execution, backtests and virtual
environment usage) incur usage-based charges that are deducted from
your Wallet Credits at the rates published on the Platform.

Wallet Credits are prepaid, non-transferable and may be used only
within the Platform. Subscription fees and Wallet Credits are
governed by our Refund Policy.

Payments & Taxes
-
Payments are processed through authorised third-party payment
gateways (e.g. Razorpay). We do not store your full card or banking
details.

All fees are exclusive of applicable taxes unless stated otherwise.
Goods and Services Tax (GST) and any other statutory levies will be
charged as applicable.

You authorise us and our payment partners to charge the amounts due
for your selected plan or top-up.

Acceptable Use
-
You agree not to misuse the Platform, including by attempting to
gain unauthorised access, reverse-engineering, scraping, overloading
our systems, or interfering with other users.

You agree not to use the Platform for any unlawful purpose,
including market manipulation, fraud, money laundering, or any
activity prohibited by SEBI or the exchanges.

You will not transmit malware, infringe intellectual property, or
upload content you are not authorised to share.

Intellectual Property
-
All software, content, designs, trademarks, analytics methodologies
and other materials on the Platform are owned by or licensed to the
Company and are protected by applicable laws.

We grant you a limited, non-exclusive, non-transferable, revocable
licence to use the Platform for your personal trading purposes. No
other rights are granted.

Data & Privacy

Your use of the Platform is also governed by our
Privacy Policy, which explains how
we collect, use, store and protect your information, including
encrypted handling of broker credentials.

Risk Disclosure
-
Trading and investment in securities, derivatives (F&O),
commodities and other financial instruments involve a high degree
of risk and may result in partial or total loss of capital.

Derivatives and leveraged positions can move rapidly against you.
You should trade only with capital you can afford to lose and after
understanding the risks involved.

You acknowledge that all trading decisions are made by you, at your
own discretion and risk.

Disclaimers

The Platform is provided “as is” without warranties of
any kind, express or implied, including merchantability, fitness for
a particular purpose, accuracy, or uninterrupted or error-free
operation.

We do not warrant that analytics, data feeds, or signals are
accurate, complete, timely or free from errors, or that the Platform
will be continuously available.

Limitation of Liability
-
To the maximum extent permitted by law, the Company and its
directors, employees and partners shall not be liable for any
indirect, incidental, special, consequential or punitive damages,
or for any trading losses, lost profits, or loss of data.

Our total aggregate liability for any claim arising out of or
relating to the Services shall not exceed the total fees paid by you
to the Company in the three (3) months preceding the event giving
rise to the claim.

Indemnification

You agree to indemnify and hold harmless the Company against any
claims, losses, liabilities and expenses arising from your use of
the Platform, your trading activity, or your breach of these Terms
or applicable law.

Suspension & Termination

We may suspend or terminate your access, with or without notice, if
you breach these Terms, if required by law or a regulator, or to
protect the Platform or other users.

You may stop using the Platform at any time. Provisions that by
their nature should survive termination (including liability,
indemnity and governing law) will continue to apply.

Changes to the Services or Terms
-
We may update these Terms from time to time. Material changes will
be notified on the Platform or by email. Your continued use after
changes take effect constitutes acceptance of the revised Terms.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the
laws of India.

Subject to applicable law, the courts at Hyderabad, Telangana shall
have exclusive jurisdiction over any disputes arising out of or in
connection with these Terms.

For any questions, complaints or grievances regarding these Terms or
the Services, please contact us using the details below. We
endeavour to acknowledge grievances within a reasonable time.
Disclaimer
Niyam Markets provides algorithmic trading tools, signals, analytics and
automation features. We are not registered as an investment adviser,
research analyst, portfolio manager or broker with SEBI or any other
regulatory authority. All strategies, insights and signals are for
educational and informational purposes only. Users are solely responsible
for their own trading decisions, profits and losses. Trading in
securities, derivatives, commodities and other financial instruments
carries inherent risks, including loss of capital. Past performance of
algorithms or signals does not guarantee future results. By using our
Platform, you acknowledge and accept full responsibility for your trading
activities.
